Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products and services operated by Cobbyvia Technologies Ltd ("Cobbyvia", "we", "us" or "our"), including the corporate website and the Vendigo digital commerce platform. By using our services, you agree to these Terms. If you are using our services on behalf of a business, you confirm that you have authority to bind that business, and the business will be responsible for your use.

1. Acceptance of these Terms

By creating an account, browsing our websites, or using any of our products or services, you agree to be bound by these Terms and any additional terms, policies or community standards we incorporate by reference, including our Privacy Policy. If you do not agree to these Terms, you must not access or use our services. We may revise these Terms from time to time, and the version in effect at the time of your use will apply. When material changes are made, we will take reasonable steps to notify you, and your continued use after the changes take effect confirms your acceptance.

Some features or services may be subject to additional terms presented to you at the time, such as seller terms, verification terms, or terms specific to a promotion or integration. Where those additional terms conflict with these Terms, the more specific terms apply to the relevant feature. If any part of these Terms is found to be unenforceable, the remaining parts will continue to apply.

2. Definitions and interpretation

In these Terms, "Vendigo" means the digital commerce platform operated by Cobbyvia that connects buyers and sellers, including the website, mobile applications, dashboards and related services. "Buyer" means a user who browses, orders or purchases products through Vendigo. "Seller" means a user who lists, offers or sells products through Vendigo. "Listing" means a product or service offered by a seller on Vendigo. "Order" means a request by a buyer to purchase a listing. "Escrow" means the arrangement under which funds for an order are held by a licensed payment or escrow partner until the conditions for release are met. "Content" means any text, image, video, review, message or other material that users submit to the platform.

Words importing the singular include the plural and vice versa, and references to a person include a body corporate. Headings are for convenience only and do not affect interpretation. References to laws include those laws as amended, supplemented or replaced from time to time. Where context permits, "including" means "including without limitation".

3. Eligibility and your account

You may use our services only if you are at least eighteen years old and able to form a legally binding contract, or if you are using them through a parent or guardian where permitted. By creating an account, you confirm that the information you provide is accurate and complete, and that you will keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs through your account, and you agree to notify us immediately of any unauthorised use or security breach.

You may not transfer or assign your account to anyone else without our consent. We may suspend or close an account that is inactive for an extended period, that violates these Terms, or that we reasonably believe poses a risk to the platform or its users. One person may not maintain multiple accounts for the purpose of evading limits, reviews, enforcement actions or fees. Where we close an account for a breach, we may also refuse future account registrations from the same individual or business.

4. The Vendigo platform

Vendigo is a marketplace that facilitates connections between buyers and sellers. We provide the technology, infrastructure and trust mechanisms that make it easier to discover products, communicate, order and transact. We are not a party to the contract of sale between a buyer and a seller, except where we act through our escrow and payment partners to hold and release funds. We do not own, sell or take title to the products listed on Vendigo, and we are not a seller of goods, except where we expressly state otherwise. The contract for a sale is between the buyer and the seller, and each party is responsible for fulfilling their respective obligations.

We may, at our discretion, change, limit or discontinue features of the platform, introduce new features, restrict access in certain regions, or remove listings, accounts or content that we believe violate these Terms, the law or the integrity of the marketplace. We may also test features with a limited group of users before a broader release. We will try to provide reasonable notice of significant changes, but some changes may need to take effect immediately, for example to address a security or legal issue.

5. Buyer terms

When you order a product on Vendigo, you agree to pay the listed price plus any applicable delivery fees and taxes, and to provide accurate delivery and contact information. When you pay for an order, your payment is held in escrow as described in the escrow section below. You are expected to confirm receipt promptly once the product is delivered in the expected condition. If something is wrong with the order, you should raise a dispute through the platform within the applicable window so that the escrow process can address it fairly.

You may not place orders you do not intend to complete, misuse the dispute process, make false claims, or attempt to circumvent the platform's payments and protections. Buyers are responsible for reviewing listings carefully before ordering, including descriptions, condition, images and seller reputation. Where you provide feedback or a review, it must be honest and based on your genuine experience. Coordinating fake reviews, threatening a seller over a review, or offering incentives in exchange for feedback is prohibited and may result in removal of the content and action against your account.

6. Seller terms

When you list a product on Vendigo, you confirm that you have the right to sell it, that your listing is accurate and not misleading, and that the sale and delivery of the product will comply with all applicable laws. You are responsible for the products you list, the orders you accept, the timely delivery or collection of products, and providing accurate information to buyers. You may not list prohibited items, including illegal goods, counterfeit or infringing items, regulated goods you are not authorised to sell, or items that violate the rights or safety of others. We may remove listings that we believe are non-compliant or harmful at any time.

Sellers must respond to buyer enquiries and fulfil accepted orders professionally. Where you use the platform's delivery options, you must meet the stated handling and delivery commitments. Where a buyer raises a valid dispute, you may be required to accept a return, refund, or partial settlement, and funds held in escrow may be released back to the buyer. Repeated failure to meet these standards, evidence of fraud, or conduct that undermines trust in the marketplace may result in listing removal, account suspension, withholding of payouts, and permanent removal from the platform.

7. Listings, content and your responsibilities

You are solely responsible for the Content you submit to Vendigo, including listings, images, videos, messages and reviews. You confirm that you own or have the rights to use the Content, that it does not infringe the rights of any third party, and that it complies with applicable law and these Terms. You grant Cobbyvia a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, adapt and distribute your Content solely as necessary to operate, promote and improve the platform. This licence continues for as long as your Content is on the platform, and ends when you remove it, except where Content relates to completed orders that we must retain for legal or support reasons.

You must not submit Content that is unlawful, misleading, harmful, threatening, abusive, harassing, defamatory, obscene, or that infringes intellectual property or privacy rights. You must not impersonate others, post private information about another person without consent, or attempt to manipulate reviews, ratings or search results. We may remove or restrict Content that we believe violates these Terms, and we may take action against accounts that repeatedly submit prohibited Content. We are not responsible for the accuracy or quality of user Content, and we do not endorse any listing or seller.

8. Transactions, payments and fees

When a buyer places an order, the agreed amount, including applicable delivery fees and taxes, is charged through our payment partners. Funds are held in escrow until the conditions for release are met, as described in the next section. Sellers may be charged fees for using the platform, including commission on completed orders and optional promotional or verification fees. Fees will be disclosed before you commit to them, and we may change our fee structure with reasonable notice. Where a transaction is refunded, reversed or cancelled, fees may be adjusted or refunded in line with the platform's fee policy.

You must not attempt to complete a transaction outside of Vendigo to avoid fees or protections, or use the platform to facilitate payments that are unrelated to a genuine listing. Chargebacks, payment reversals or payout withdrawals must not be requested in a manner that is fraudulent or abusive. We may withhold, suspend or reverse payouts where we are investigating a dispute, suspected fraud, or a legal or regulatory issue, and we may use funds held in escrow or reserves to satisfy refunds, returns, fees or claims that we reasonably determine are owed.

9. Escrow services on Vendigo

Escrow is central to how Vendigo protects both buyers and sellers. When a buyer pays for an order, the funds are not released to the seller immediately. Instead, they are held securely by our licensed payment and escrow partners while the order is in progress. The funds remain in escrow until the buyer confirms that the product has been received in the expected condition, or until a confirmation window expires without the buyer raising a dispute. At that point, the funds are released to the seller, less any applicable fees. This arrangement gives buyers confidence that they can flag a problem before their money is released, and gives sellers confidence that funds for an order have been secured before they ship or deliver.

If a buyer raises a dispute within the applicable window, the release of funds is paused while the dispute is assessed. Both parties may be asked to submit evidence, such as delivery confirmation, photographs, messages or other information. Based on the dispute outcome, the escrow provider may be instructed to release the funds to the seller, refund the buyer in full or in part, or split the funds where appropriate. Where a seller fails to deliver, or where a product is significantly not as described, the buyer may receive a refund from the funds held in escrow. Where a buyer raises a dispute in bad faith, fails to cooperate, or where there is evidence of misuse, the funds may be released to the seller and the buyer's account may be restricted.

Escrow is operated by licensed third-party partners under their own terms, and Cobbyvia facilitates the process through the platform. We may extend, pause or reverse escrow where required by law, where a dispute is open, or where we detect fraud or unusual activity. We may also maintain reserves or delay payouts where necessary to manage risk. Neither Cobbyvia nor its escrow partners are liable for losses arising from circumstances beyond their reasonable control, such as disruptions to payment networks, banking failures, or actions taken to comply with legal obligations. By using Vendigo, you agree to the escrow process as described here and in any escrow-specific terms provided at the time of a transaction.

10. Disputes and resolution

We encourage buyers and sellers to resolve issues through messaging on the platform first. Where a resolution cannot be reached, a party may open a formal dispute through Vendigo. During a dispute, funds held in escrow will not be released until the matter is assessed. We may request and review evidence from both parties, including order details, delivery confirmation, photographs and message history, and may make a decision based on the available information. Our decisions are designed to be fair and proportionate, and we may release, refund or split funds, adjust ratings or reviews, or take action against an account where appropriate.

You agree to cooperate in good faith with the dispute process, to provide truthful information, and not to interfere with or abuse the process. Where a dispute cannot be resolved through the platform, you may pursue other remedies available to you under applicable law, subject to the governing law and dispute provisions below. We are not a court and do not adjudicate every type of claim; some matters, such as claims between a buyer and a seller for damages beyond the transaction value, may need to be pursued directly between the parties or through legal channels.

11. Prohibited conduct

You must not use our services to engage in unlawful, fraudulent, harmful or deceptive activity. Prohibited conduct includes, without limitation, selling illegal, counterfeit or infringing goods; submitting false or misleading information; creating accounts to evade enforcement; manipulating reviews, ratings or search results; abusing the dispute or refund process; attempting to take transactions off the platform to avoid fees or protections; circumventing or interfering with the platform's security, payment or escrow systems; scraping or harvesting data; sending spam or unsolicited communications; infringing intellectual property or privacy rights; and facilitating harm, discrimination or abuse against others.

We may investigate suspected violations and take action at our discretion, including removing Content, cancelling orders, withholding payouts, suspending or closing accounts, and reporting conduct to authorities where required by law. We may also take action to protect the platform and its users before a full investigation is complete, where we reasonably believe there is a risk. These Terms do not limit any rights or remedies we may have under applicable law.

12. Fees and taxes

Cobbyvia may charge fees for the use of certain features of Vendigo, including commission on completed orders, seller verification, promotion tools and other optional services. Fees are disclosed before they are incurred, and we may update our fee structure with reasonable notice. Sellers are responsible for any taxes applicable to their sales, including value added, sales or similar taxes, and for determining whether they are required to register for, collect or remit taxes in their jurisdiction. Where Cobbyvia is required by law to collect or remit taxes on transactions, it may do so and pass them through to the relevant authority.

Buyers are responsible for any duties, customs or similar charges that may apply to cross-border orders. Fees and taxes shown at checkout are estimates based on the information available and may be adjusted where required. If you believe a fee or tax has been applied in error, contact us and we will review the matter.

13. Intellectual property

The platform, including its software, design, branding, logos, features and underlying materials, is owned by Cobbyvia or its licensors and is protected by intellectual property laws. The "CT" monogram and the Cobbyvia Technologies Ltd name and branding are the official company marks and may not be used without our written consent. The Vendigo name and logo are likewise protected and may not be copied, imitated or used in a way that suggests endorsement or affiliation with us.

You retain ownership of the Content you submit, subject to the licence you grant us to operate the platform. You must not use our branding, content or platform in a way that infringes our rights or those of others, or that misrepresents a relationship with us. We may take action against unauthorised use of our intellectual property, including by requesting removal, contacting platforms and authorities, and pursuing legal remedies.

14. Disclaimers

Our services are provided on an "as is" and "as available" basis. To the extent permitted by law, we exclude all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and we do not warrant that the services will be uninterrupted, error-free or secure, or that any listing, seller, buyer, product or transaction will be as described or satisfactory to you. We do not guarantee the accuracy, completeness or reliability of any Content on the platform, and we are not responsible for the conduct of any user.

Where we act through escrow and payment partners, the handling of funds is subject to those partners' terms and the limits of their licences and systems. We facilitate the escrow process but do not guarantee a particular dispute outcome. Nothing in these Terms excludes or limits liabilities that cannot be excluded under applicable law, and nothing in this section affects your statutory rights as a consumer where they apply.

15. Limitation of liability

To the maximum extent permitted by law, neither Cobbyvia nor its officers, employees, affiliates, partners or service providers will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the services. Our aggregate liability for any claim arising out of or relating to these Terms or the services will not exceed the greater of the amount you paid to us through the platform in the three months preceding the claim, or the applicable minimum required by law.

This limitation applies regardless of the legal basis of the claim and even if we have been advised of the possibility of such damages. It does not apply to liability that cannot be limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud. You acknowledge that the limitations and exclusions in this section are a reasonable allocation of risk between you and Cobbyvia and form an essential basis of the agreement to provide the services at the applicable fees or without charge.

16. Indemnification

You agree to indemnify and hold harmless Cobbyvia and its officers, employees, affiliates, partners and service providers from any claims, damages, liabilities, costs and expenses, including reasonable legal fees, arising out of or in connection with your Content, your use of the services, your violation of these Terms, or your violation of any rights of another party or any applicable law. This includes claims arising from your listings, transactions, communications, or any breach of your obligations as a buyer or seller.

We reserve the right, at our own cost, to assume the exclusive defence and control of any matter subject to indemnification, in which case you will cooperate with us as reasonably requested. We will not settle any matter in a way that imposes a non-indemnified obligation on you without your consent. This indemnification obligation survives the termination of your account or these Terms.

17. Suspension and termination

You may close your account at any time through your account settings, subject to completing any open orders and resolving any pending disputes or payout obligations. We may suspend or terminate your access to the services at any time, with or without notice, where we believe you have violated these Terms, the law, or the integrity of the platform, where your account poses a security or risk concern, or where we are required to do so by a legal or regulatory authority.

Upon termination, your right to use the services ends, and we may remove your Content and listings, subject to retaining records necessary for legal, accounting, support or dispute purposes. Any obligations that by their nature should survive termination will continue, including those relating to payments, escrow, disputes, intellectual property, disclaimers, limitation of liability and indemnification. If your account is closed for a breach, we may also refuse future registrations from you or your business.

18. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. You and Cobbyvia agree to submit to the jurisdiction of the competent courts in Lagos, Nigeria, for any dispute that is not resolved through the platform or by informal discussion, except where you are a consumer with mandatory rights in another jurisdiction that require otherwise.

Before initiating formal proceedings, the parties will attempt in good faith to resolve any dispute through discussion. Where the dispute involves a transaction on Vendigo, the platform's dispute process should be used first. Nothing in this section prevents either party from seeking urgent injunctive or other relief from a competent court where necessary to protect its rights or property.

19. Changes to these Terms

We may revise these Terms from time to time. The "last updated" date at the top indicates when they were last revised. When we make material changes, we will take reasonable steps to notify you, for example through the platform or by email. Your continued use of the services after the revised Terms take effect confirms your acceptance. If you do not agree to the revised Terms, you should stop using the services and close your account.

Where a change would materially reduce your rights or expand your obligations in a way that requires your consent, we may seek that consent where appropriate or required by law. We will keep previous versions of the Terms available on request so you can understand what has changed.

Cobbyvia Technologies Ltd is responsible for the services described in these Terms. These Terms, together with any additional terms and policies incorporated by reference, represent the entire agreement between you and Cobbyvia regarding the use of the services, to the extent permitted by law.
